Full Payment Upfront: The full project fee is due before any work begins. Work will not commence until payment has been received and cleared.
Non-Refundable Payment: All payments are final and non-refundable once the engagement has been accepted and work has commenced. This includes situations where the client changes their mind, delays the project, becomes unavailable, or decides not to proceed.
Scope of Work: The fee covers only the services and deliverables specifically outlined in the agreed scope. Requests outside the agreed scope may require an additional fee and written approval before work begins.
Client Responsibilities: The client is responsible for providing accurate, complete, and timely information, documents, access, approvals, and feedback necessary to complete the engagement.
Client Delays: The client must provide requested information, materials, decisions, approvals, and feedback within the timeframes established by ORCA Consultants. Client-caused delays may affect the project schedule and delivery date.
Extended Delays: If the client fails to provide required information, feedback, approvals, or other materials for an extended period, ORCA Consultants reserves the right to pause, terminate, or cancel the engagement without refund. If the engagement can be resumed, additional fees may apply to account for re-planning, rescheduling, updated research, changes in market conditions, or additional work resulting from the delay.
Delay-Related Additional Fees: Delays caused by the client that require additional meetings, research, revisions, project management, rescheduling, or work to be repeated may result in additional fees. No additional work will be performed until the applicable fees have been approved and paid.
Changes & Revisions: Reasonable revisions within the agreed scope are included. Substantial changes to the approved direction, additional research, new requirements, or requests outside the original scope may be billed separately.
Project Commencement: Submission of a request does not create an obligation for ORCA Consultants to begin work. The engagement becomes active only after the scope has been confirmed and full payment has been received.
No Guaranteed Results: Business planning and consulting involve professional analysis and recommendations. ORCA Consultants does not guarantee revenue, funding, investment, sales, profitability, market acceptance, or any other specific business outcome.
Professional Judgment: Recommendations are based on the information available at the time of the engagement. Business conditions, markets, regulations, competitors, and other external factors may change and may require future adjustments.
Additional Services: Services not included in the agreed scope will require separate approval and may be subject to additional fees.
Intellectual Property: Final deliverables specifically created for the client will be provided upon full payment. ORCA Consultants retains ownership of its pre-existing materials, methodologies, templates, frameworks, processes, and proprietary know-how used in delivering the engagement.
Cancellation by Client: If the client cancels after payment and work has commenced, the project fee remains non-refundable. Any remaining work will be handled according to the agreed engagement terms.
Acceptance of Terms: By submitting a request and proceeding with payment, the client acknowledges and agrees to these Payment Terms & Conditions and the applicable scope of work.
Agreement Priority: If a signed proposal, engagement agreement, or statement of work contains terms that differ from these general terms, the terms of the signed agreement will control.

If the client remains unresponsive or unable to proceed for an extended period, ORCA Consultants reserves the right to terminate or cancel the engagement without refund.
Resuming a suspended or cancelled engagement may require a new scope, revised timeline, and additional fees.
The agreed scope includes only the concepts, revisions, and creative development specified in the engagement. Additional concepts or substantial changes to an approved direction may be billed separately.
A significant change in creative or strategic direction after approval may be treated as additional work and may require additional fees.
The client is responsible for ensuring that any names, images, content, trademarks, or other materials supplied to ORCA Consultants may legally be used.
ORCA Consultants may provide naming and branding recommendations but does not guarantee trademark availability, registration, legal protection, or unrestricted use of any proposed name, slogan, logo, or brand element.
ORCA Consultants does not guarantee specific increases in revenue, sales, market share, customer acquisition, valuation, or other business outcomes resulting from the engagement.
Final brand assets specifically created for the client will be transferred or licensed according to the agreed engagement terms upon full payment. ORCA Consultants retains ownership of its pre-existing methodologies, frameworks, processes, templates, and proprietary know-how.
Website development, advertising, marketing execution, photography, video production, printing, packaging, trademark registration, legal services, and other services outside the agreed scope are separate services and may be quoted independently.
If the client cancels after payment and work has commenced, the project fee remains non-refundable.
By submitting a request and proceeding with payment, the client acknowledges and agrees to these Payment Terms & Conditions and the applicable scope of work.

Our standard consulting rate is $350 per hour for professional, strategic, creative, and advisory services. The hourly rate provides a baseline for work performed outside fixed-scope engagements and may vary when a project requires specialized expertise, production resources, third-party services, or significant technical complexity.
Services billed at the standard hourly rate may include:

Terms & Conditions
Services are billed at the applicable hourly rate or agreed project fee. The applicable rate and scope will be confirmed before work begins.
For hourly engagements, time is billed for actual professional work performed, including consultation, strategy, research, analysis, meetings, development, revisions, communication, and project-related work.
Payment is due according to the payment terms established for the engagement. For projects requiring an upfront payment or deposit, work will begin once the required payment has been received and cleared.
Hourly work is billed based on the actual time required. ORCA Consultants will communicate when a project is approaching a significant change in scope or expected hours whenever reasonably possible.
The agreed scope covers the services specifically identified in the engagement. Additional requests, expanded requirements, additional revisions, or work outside the original scope may result in additional charges.
Client feedback, approvals, materials, information, and decisions are required to keep projects moving efficiently. Delays in providing these items may affect the project timeline.
If a client-caused delay requires additional meetings, research, revisions, project management, rescheduling, or work to be repeated, the additional time may be billed at the applicable rate.
Extended periods of inactivity or delayed client response may result in the engagement being paused or rescheduled. If substantial time has passed, ORCA Consultants may require confirmation of the scope and availability before resuming work.
If an engagement is cancelled after work has begun, the client remains responsible for all work completed and approved expenses incurred through the cancellation date. Payments for completed work are non-refundable.
Changes to an approved direction may require additional time and fees. ORCA Consultants will make reasonable efforts to identify material changes before proceeding with significant additional work.
Third-party costs, advertising spend, software, subscriptions, printing, production, media, travel, contractors, licensing, and other external expenses are not included unless specifically stated in the engagement.
Specialized services requiring additional personnel, equipment, production resources, technical expertise, or third-party providers may be quoted separately.
ORCA Consultants provides professional recommendations based on the information, objectives, and circumstances available at the time of the engagement. Specific business, marketing, sales, revenue, ranking, advertising, or other performance results are not guaranteed.
Client-provided materials, information, trademarks, images, content, and other assets must be supplied with the appropriate rights and permissions. The client is responsible for the accuracy and lawful use of materials they provide.
Final deliverables are provided upon receipt of all amounts due under the engagement. ORCA Consultants retains ownership of its pre-existing methodologies, frameworks, processes, templates, systems, and proprietary materials.
These terms are intended to provide clarity for both parties and may be supplemented or replaced by the terms of a signed proposal, statement of work, or consulting agreement. Where a signed agreement contains different terms, that agreement will govern.

The Basic Plan covers up to 4 hours of shooting with essential equipment and services. Any shoot time exceeding 4 hours will be billed at an additional hourly rate. Terms for additional hours may vary after consulting with an ORCA professional.
Travel fees will apply for any filming outside of New York City. These fees will be calculated based on distance, transportation, and any additional accommodations required. Travel terms and fees may vary after consulting with an ORCA professional. Transportation fees also apply within NYC for larger events requiring more than one camera and professional. These fees will vary based on the project scope.
Any special requests, including but not limited to drone footage, advanced lighting setups, multiple locations, 3D video capture, or additional talent/models, will be billed separately as part of the Premium Add-Ons. These services are subject to availability and must be arranged in advance with an ORCA professional. Terms for special requests may vary after consultation.
All video footage, including drone and 3D footage, remains the property of ORCA Digital Marketing until full payment is received. Upon full payment, the client will have the rights to the final edited video. Terms for footage rights may vary after consultation.
Editing: The Basic Plan includes simple editing (trimming and cutting). Additional editing requests such as color grading, special effects, and advanced transitions are available at an extra fee. Editing terms may vary after consulting with an ORCA professional.
Revisions: One round of revisions is included with each project. Any further revisions or changes beyond the first round will be billed at the standard hourly rate. Revision terms may vary after consulting with an ORCA professional.
Post-Production: Post-production services such as advanced editing, audio enhancements, and special effects will incur additional charges, as outlined in the Premium Add-Ons. Post-production terms may vary after consultation with an ORCA professional.
Cancellation/Rescheduling: Cancellations or rescheduling of the video shoot will result in a 100% cancellation fee of the total agreed-upon cost. Terms for cancellation and rescheduling may vary after consulting with an ORCA professional.
Liability: ORCA Digital Marketing is not responsible for any damages or incidents that occur during the video shoot. The client is responsible for securing permissions and ensuring that all locations, props, and talent are authorized for filming. Liability terms may vary after consulting with an ORCA professional.
Client Responsibilities: The client is responsible for ensuring that the shooting environment and all related elements (any elements not within ORCA’s scope of work) are in working order and conducive to the video shoot process. ORCA Digital Marketing is not responsible for any failure to meet these requirements or any elements that fall outside ORCA’s scope of work. This includes, but is not limited to, issues with lighting, sound, props, locations, talent, or other logistical elements not provided by ORCA. Any delays caused by such issues will result in automatic billing for additional hours, with the hourly rate determined at the time of the incident based on the affected tasks and professionals involved. Terms for delays and client responsibilities may vary after consultation.
Changes to Scope: Any changes to the scope of work, including additional services or requests, must be agreed upon in writing prior to commencement. Additional fees will apply based on the scope of changes. Scope change terms may vary after consulting with an ORCA professional.
Larger Events: For larger events requiring more than one camera and more than one professional, fees will vary based on the complexity of the project. Transportation fees will also apply within New York City. All costs related to additional equipment and professionals will be discussed and agreed upon during consultation.
By proceeding with the booking, the client acknowledges and agrees to all the terms and conditions stated above, including the upfront payment requirement, 100% cancellation fee, client responsibilities for ensuring the environment is ready for filming (and for elements outside ORCA's scope), and the terms for larger events and additional professionals. Recipient data must be provided by the client. ORCA can obtain data from a legitimate provider for a 15% handling fee (additional costs for data sourcing).

Payment Terms
All payments are required upfront before any email marketing campaigns are initiated.
By agreeing to these terms, the client confirms their commitment to pay in full for the selected package.
No refunds will be issued under any circumstances after payment has been made. All sales are final.
Platform and tech fees
Not included in any package and will be the responsibility of the client unless otherwise agreed.
Data and recipient information
Must be provided by the client. If ORCA is asked to obtain this information from a legitimate data provider, a 15% handling fee will be charged.
Revisions and Content Limitations
Each email campaign includes up to 2 revisions. Additional revisions will incur an extra fee based on the scope of changes.
Additional content requests (such as more than 5 visuals or special assets) may incur an extra charge.
Campaign Scheduling and Timing
Campaigns will be scheduled based on availability and mutual agreement on timing. Delays caused by the client in providing necessary content or data may result in a delay in campaign execution and additional charges for the delay.
Once a campaign is scheduled, the client must notify ORCA of any changes at least 48 hours in advance to avoid additional fees.
Client Responsibilities
The client is responsible for providing all necessary materials for the email campaign, including text, images, and branding guidelines.
The client must ensure that recipient lists are accurate and comply with all applicable privacy and spam regulations (such as GDPR, CAN-SPAM, etc.).
Any failure to meet deadlines or provide requested information may result in additional fees for the extra time required.
Extra Services and Add-Ons
Services outside the standard email marketing packages, such as advanced analytics, custom reporting, extensive segmentation, A/B testing, and additional campaign customization, will incur extra charges.
For clients requesting extra specialized features (such as custom designs or advanced integrations), the pricing and scope will be determined after consultation with an ORCA professional.
No Cancellations and Refund Policy
All sales are final. Cancellations, once payment has been made and the project is started, will not be refunded.
If the client decides to discontinue the service after payment is made, no partial refunds will be issued, and the client will forfeit the payment for the full campaign.
ORCA will not be liable for any costs incurred due to the client's failure to complete their obligations or any delays caused by the client.
Termination and Project End
The client may request to pause or stop a campaign, but any services rendered up to that point will still be charged.
If the client is not satisfied with the services provided, no refunds will be issued for any campaigns that have already been delivered or launched.
Force Majeure
ORCA will not be liable for any delays or inability to deliver services due to factors beyond its control, including but not limited to, natural disasters, server failures, or technical difficulties.
By purchasing email marketing services from ORCA Digital Marketing, the client acknowledges that they have read, understood, and agreed to the terms and conditions outlined above.
